Software License

Subject to your compliance with these terms, Xeno Money Ltd ("Xeno", "we", "us", or "our") grants you a limited, non-exclusive, non-transferable, revocable license to access and use our software, APIs, SDKs, and related services (collectively, the "Software") solely for the purposes described in this agreement.

This license does not transfer any ownership rights to you. Xeno Money Ltd retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

Under this license, you are permitted to:

• Integrate the Software with your applications using our documented APIs and SDKs
• Use the Software for testing, development, and production purposes in accordance with our documentation
• Make reasonable copies of documentation for internal use in connection with authorized use of the Software
• Create applications that interface with the Software through our official APIs

You may not, and you will not permit any third party to:

• Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code, underlying algorithms, or structure of the Software
• Modify: Modify, adapt, alter, translate, or create derivative works based on the Software
• Distribute: Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party
• Copy: Copy or reproduce the Software except as expressly permitted under this license
• Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Circumvent: Circumvent, disable, or interfere with any security features or access controls of the Software
• Compete: Use the Software to build a competitive product or service
• Misuse: Use the Software for any unlawful, fraudulent, or malicious purpose

The Software and all copies thereof are proprietary to Xeno Money Ltd and title thereto remains exclusively with Xeno Money Ltd. All rights in the Software not specifically granted in this license are reserved to Xeno Money Ltd.

You acknowledge that the Software contains trade secrets and other proprietary information of Xeno Money Ltd. You agree to maintain the confidentiality of such information and not to disclose it to any third party without our prior written consent.

Any feedback, suggestions, or ideas you provide regarding the Software shall become the exclusive property of Xeno Money Ltd, and we may use such feedback without any obligation to you.

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms.

Xeno Money Ltd may terminate this license at any time, with or without cause, upon written notice to you. We may also suspend or discontinue the Software or any part thereof at any time without liability.

Upon termination:

• All rights granted to you under this license will immediately cease
• You must immediately cease all use of the Software
• You must destroy all copies of the Software in your possession or control
• Sections relating to intellectual property, disclaimers, limitations of liability, and general provisions shall survive termination

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

XENO MONEY LTD DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XENO MONEY LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR THE USE OF THE SOFTWARE.

IN NO EVENT SHALL XENO MONEY LTD'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO XENO MONEY LTD FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

This license shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising out of or in connection with this license shall be subject to the exclusive jurisdiction of the courts of England and Wales.
